Semotus Solutions,
formerly Semotus Solutions and DataLink Systems Corporation (the "Company")
was formed under the laws of the State of Nevada on June 18, 1996. On June 27,
1996, the Company went public through an acquisition of a public corporation,
Datalink Communications Corporation ("DCC"), which was previously Lord
Abbott, Inc., a Colorado corporation formed in 1986.As a part of the acquisition
of DCC, the Company also acquired DSC Datalink Systems Corporation, a Canadian
corporation founded in 1993 in Vancouver, British Columbia.
